1. Acceptance of Terms
Welcome to CloudContactPro. These Terms of Service ("Terms") govern your access to and use of the CloudContactPro website, VoIP services, cloud contact center platform, and related services (collectively, the "Services") provided by CloudContactPro ("Company," "we," "us," or "our").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
2. Description of Services
CloudContactPro provides:
- Voice over Internet Protocol (VoIP) telecommunications services
- Cloud-based contact center solutions
- SIP trunking and termination services
- Intelligent call routing and IVR systems
- Analytics, reporting, and workforce management tools
- API access for integration with third-party applications
3. Account Registration
To access certain features of our Services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and update your account information as needed
- Keep your password secure and confidential
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access or security breach
We reserve the right to suspend or terminate accounts that violate these Terms or contain false or misleading information.
4. Acceptable Use Policy
You agree not to use our Services to:
- Violate any applicable laws, regulations, or third-party rights
- Transmit spam, unsolicited communications, or engage in illegal telemarketing
- Conduct robocalling without proper consent and compliance with TCPA regulations
- Engage in caller ID spoofing for fraudulent purposes
- Transmit malicious code, viruses, or harmful content
- Interfere with or disrupt the integrity of our Services
- Attempt to gain unauthorized access to our systems or networks
- Resell or redistribute Services without authorization
- Use Services for harassment, threats, or illegal activities
5. Regulatory Compliance
Our Services are provided in compliance with applicable telecommunications regulations. You acknowledge and agree that:
- You will comply with all applicable FCC regulations and TCPA requirements
- You will maintain compliance with STIR/SHAKEN caller authentication standards
- You are responsible for obtaining necessary licenses for your use of the Services
- You will comply with Do-Not-Call registry requirements
- You will obtain proper consent before recording calls as required by law
6. Fees and Payment
By subscribing to our Services, you agree to:
- Pay all applicable fees as set forth in your service agreement
- Provide valid payment information and authorize recurring charges
- Pay for usage-based charges in accordance with published rates
- Pay applicable taxes, fees, and surcharges
Fees are non-refundable except as expressly stated in your service agreement. We reserve the right to modify pricing with 30 days' notice.
7. Service Level Agreement
We strive to maintain 99.9% uptime for our Services. Specific service level commitments, including uptime guarantees and service credits, are detailed in your service agreement. Scheduled maintenance windows are excluded from uptime calculations.
8. Intellectual Property
All content, features, and functionality of our Services, including but not limited to software, text, graphics, logos, and trademarks, are owned by CloudContactPro or its licensors and are protected by intellectual property laws.
You retain ownership of any data or content you submit through our Services. By using our Services, you grant us a limited license to process your data as necessary to provide the Services.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOUDCONTACTPRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES.
Our total liability for any claims arising from these Terms shall not exceed the amount paid by you for the Services during the twelve (12) months preceding the claim.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or completely secure.
11. Indemnification
You agree to indemnify, defend, and hold harmless CloudContactPro and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.
12. Termination
Either party may terminate the service agreement with 30 days' written notice. We may suspend or terminate your access immediately if you violate these Terms or engage in fraudulent activity. Upon termination, your right to use the Services ceases, and you remain responsible for any outstanding fees.
13. Dispute Resolution
Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. The arbitration shall take place in Wyoming, and the decision shall be final and binding.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after changes constitutes acceptance of the modified Terms.
